At Commerce Bank, we are working day after day, year after year, to make stronger, more vibrant and prosperous communities through the efforts of our Team Members and our ongoing financial commitment. Grants and sponsorships are two of the many ways we provide support for our communities.

Grants

Through the TD Charitable Foundation (“the Foundation”), we provide grants in three specific areas of focus: Economic Empowerment, Youth Development and Community Support. Grants are made only to qualified, federal tax-exempt 501(c)(3) organizations as defined by the Internal Revenue Service, and should support specific program initiatives that must be detailed in the grant application. The TD Charitable Foundation limits grants to community-based organizations that service communities in which we do business.

The TD Charitable Foundation focuses on three areas of giving:

• Economic Empowerment
  This includes the areas of financial literacy programs, the promotion and development of affordable housing, job training programs for the disadvantaged, and the promotion of programs that develop local economies through small business support and community revitalization efforts.
• Youth Development
  This includes the support of initiatives designed to help young people, particularly those at risk, the advocacy of partnerships amongst youth, parents and community agencies, and the commitment to early development programs which prepare young people with practical life skills.
• Community Support
  This includes the support of programs and organizations which have proven records of arts and cultural enrichment programs, the development and expansion of programs which foster civic enhancement and address issues related to cultural diversity, and a commitment to programs that promote improvements to community health and human services efforts.

Non-Profit Training Resource Fund

A total of $300,000 will be awarded in 2008 to eligible community-based organizations for employees to attend approved classes/courses that will enhance their job performance.

Sponsorships

Separate from the TD Charitable Foundation, Commerce Bank provides sponsorship funding to organizations within our communities. A sponsorship is any donation made by Commerce to any eligible organization – whether for-profit or not-for-profit – that provides the bank with marketing opportunities. We handle sponsorships both at the corporate and local level.

As a sponsor, Commerce hopes to achieve one or more of the following goals within the communities we serve:

• Enhance the visibility of Commerce Bank;
• Position Commerce Bank as a corporate leader;
• Provide an opportunity to introduce Commerce Bank to new customers, and to strengthen relationships with existing customers;
• Raise funds for the benefit of not-for-profit organizations.

Marketing Sponsorships

Commerce Bank Marketing Sponsorships are investments in properties, events and causes that are designed to increase our brand awareness and improve the goodwill of our company as part of an overarching marketing and public relations strategy.

Community Sponsorships

• Local Community Sponsorships provide Commerce Bank with opportunities to build meaningful relationships with our communities, employees, and existing and prospective customers. These opportunities may be promotional (e.g., booth, program ads, etc.), entertainment (e.g., tickets, tables, rounds of golf, etc.) or of community relations value. Eligible organizations that serve the communities where Commerce conducts business may request Community Sponsorship funding by submitting a proposal at the closest Commerce Bank Store.
